Senior Legal Counsel, Lending (Leverage Finance)
The team
The Legal Department provides tailored and sustainable legal solutions by being a partner in business while mitigating potential legal and reputational risks for ING Bank. Our department counts around 50 lawyers. The team Sectors and Lending consists of 15 lawyers with different backgrounds. We support our internal clients in product development, transactions, and incidents. Our team is responsible for drafting and reviewing a variety of structured finance transactions, loan documentation and we contribute to various innovation initiatives such as automation and AI tools integration. We participate in legal committees of (international) banking associations.
Roles and responsibilities:
- Provide general legal and associated advice and support to the Lending Services activities of ING's Wholesale Banking business, principally in connection with ING's Leverage Finance business and primarily in the Netherlands region but also in other ING locations. This includes advice on transactions and product development, as well as guidance on domestic and cross-border issues.
- Review, advise on, draft and/or negotiate general Leverage Finance documentation which has been negotiated by the deal teams and their appointed external legal advisers, in order to give internal sign off, by confirming that the documentation accords with the internal policies and procedures, and includes features acceptable to ING.
- Review and comment on ancillary documentation, including release and reliance letters, hold harmless letters, confidentiality agreements, legal opinions, mandate documents, commitment documentation and term sheets in relation to proposed transactions and, to the extent necessary, to assist with drafting documentation.
- Identify unusual or “off-market” provisions during negotiation and documentation review and bring them to the attention of the business and risk management.
- Draft, review and comment on template documentation, standard terms and conditions and policy documentation used by ING.
- Participate in negotiations, conference calls and meetings in connection with potential and live transactions as necessary.
- Prepare, deliver, and arrange legal training and keep internal clients advised of relevant legal developments and relevant current market trends.
- Contributing to the pool of specialists with sector and expertise knowledge. Participate in various wide/cross-border projects/initiatives and help draft internal policies and guidelines.
- Liaise as necessary with external counsels.
- Seek and receive legal advice on behalf of ING and communicate that advice to the ING management.

You have:
- A university degree, qualified common law solicitor or barrister (English and/or Dutch degree are preferred).
- Minimum of 6 years post-qualification experience working for a magic circle or equivalent law firm or in-house for a leading international wholesale bank in these areas.
- Experience with leveraged finance transactions documentation including term sheets, mandate letters, inter-creditor agreements, guarantees and security documents.
- Familiarity with Loan Market Association, loan documentation, and terms.
- Familiarity with sponsor precedent documentation.
- Familiarity with ancillary documentation including confidentiality agreements and legal opinions.
- Interest in transactional work.
You are:
- A confident, articulate personality, good at building client relationships, and able to take responsibility for, and prioritise, their workload without extensive supervision.
